INTRODUCTION

Welcome to Offsite-Team. By accessing and using our services, you (the “Client”) agree to comply with the following terms and conditions. Please read them carefully.

  1. DEFINITIONS
  • “Services”: Refers to the various service packages offered by Offsite-Team, including but not limited to Soloist, Nomad, and Explorer.
  • “Platform”: Refers to the Offsite-Team website and any affiliated platforms or applications.
  1. SERVICES
  • Offsite-Team offers distinct service packages. Each package comes with specified features, hours, and pricing as detailed on our Platform.
  1. COMPENSATION
  • The Client will compensate Offsite-Team based on the selected service package.
  • Payments are made in advance via Stripe. Subscription details, including any available discounts, are elaborated on our Platform.
  1. CLIENT OBLIGATIONS
  • The Client is responsible for providing the necessary day-to-day supervision of Offsite-Team personnel engaged in the delivery of Services.
  • The Client is obliged to maintain a safe and lawful working environment.
  • All pertinent business details and access to relevant accounts must be provided to Offsite-Team to facilitate our Services.
  1. MATERIALS & INFORMATION
  • The Client shall provide Offsite-Team with all necessary information, materials, and support that may be required to effectively deliver the Services.
  • Any sensitive information provided will be treated with the utmost confidentiality.
  1. CHANGES & VARIATIONS
  • If the Client wishes to modify the scope or execution of the Services, they must notify Offsite-Team in writing. Additional charges may apply based on the nature of changes.
  1. OFFSITE-TEAM PERSONNEL
  • The personnel provided by Offsite-Team are skilled professionals and should be treated with respect.
  • These personnel operate under this agreement and should not be considered as the Client’s direct employees.
  1. WARRANTIES & GUARANTEES
  • Offsite-Team is committed to delivering its Services in line with recognized industry standards.
  • If the Client believes that a specific Service has not been rendered satisfactorily, they must notify Offsite-Team within a reasonable timeframe. We shall take appropriate action, which may include re-performance of the Service or other remedies.
  1. WORKING HOURS & BILLING
  • Services will be provided as per the working hours stipulated in the selected package.
  • Should the Client require services beyond these hours, they will be billed separately at a rate determined by Offsite-Team.
  1. PAYMENT POLICY
  • Payments are made through the Stripe checkout system.
  • Payments can be set up as monthly subscriptions or as one-time transactions.
  • Failure to remit payment on time may result in additional charges or suspension of Services.
  1. TERMINATION
  • Either party may terminate the agreement with written notice. Specific conditions and implications of termination will be outlined in individual service contracts.
  1. NON-SOLICITATION AND NON-CIRCUMVENTION
  • 1. Restrictions: For two (2) years post-termination, the Client agrees not to:
    • Directly or indirectly solicit our Personnel/Chief of Staff for employment or other services.
    • Employ or contract any current or past Personnel/Chief of Staff from the Company.
    • Solicit business from, or attempt to divert, any client or associate of ours.
    • Bypass our company by engaging with our Personnel/Chief of Staff or representatives without our express consent.
    • Solicit any referrals or endorsements from our Personnel/Chief of Staff for roles in the Client’s entity without consulting with us.
  • 2. Buyout Option: Direct hiring of a Personnel/Chief of Staff will incur a buyout fee of $3,000 after a minimum service period of 3 to 6 months depending on service tier.
  • 3. Penalty: Breaching these terms will result in a minimum fee of $3,000 per incident and possible additional damages.
  1. NON-SOLICITATION
  • During the term of this agreement and for a period of two years thereafter, the Client agrees not to solicit or attempt to solicit any employee or contractor of Offsite-Team.
  • Breach of this clause will result in penalties, the specifics of which will be determined by Offsite-Team.
  1. PUBLICITY & PROMOTION
  • Unless otherwise directed by the Client, Offsite-Team reserves the right to use the Client’s company name, testimonials, and other review data for marketing and promotional activities.
  1. INDEMNIFICATION & LIABILITY
  • Both parties shall indemnify and hold each other harmless against any claims, damages, or legal actions arising from the provision of the Services.
  • Liability limits will be based on the specifics of the selected service package.
  1. DISPUTE RESOLUTION
  • All disputes arising out of this agreement will be governed by the laws of Washington and Texas, whichever is applicable.
  • Both parties commit to resolving any disputes amicably through negotiation. If not resolved, disputes may be subjected to mediation or legal proceedings.
  1. AMENDMENTS
  • Offsite-Team reserves the right to amend, modify, or update these terms from time to time.
  • Clients are encouraged to review these terms periodically. Continued use of Offsite-Team’s Services following any changes signifies acceptance of those changes.
